Job Description:
- Act as a strategic partner in supporting the business and ensure issuance of accurate, reliable documentation for all transactions to ensure that the BU is achieving its Annual Operating Plan with minimum legal risk and exposure vis-a- vis its contractual partners and other third parties.
- Advising Franchise leads in MENA FOBO on a wide variety of legal issues related to the business’s operations and commercial transactions.
- Develop and execute franchise governance and processes and maintain robust franchise governance management systems.
- Manage the litigation in the BU, including engaging and liaising with external counsel, to minimize risk and exposure and ensure that the company’s interests are protected.
- Develop and execute accurate, reliable and timely issuance of contracts in accordance with company policies, franchise governance and processes, legal/regulatory compliance guardrails and all local statutory requirements, including negotiation and preparation of related documents and internal memos.
- Provide routine and strategic legal advice to all functions in relation to all corporate, civil, commercial and labor law queries that are raised and provide support in Strategic Projects.
- Ensure that contract approvals are in compliance with PepsiCo’s Schedule of Authority.
- Act as liaison across all functions to ensure providing high level of quality to the functions while maintaining company rights.
- Manage, document and record all management and board changes in the JVs under MENA FOBO (SMLC, JICE) in line with PepsiCo’s JV governance policy and local laws.
- Ensure all local corporate transactions are executed in accordance with local laws and company and PepsiCo International policies to avoid exposing the organization to a legal risk.
- Manage, train and develop direct reports.
- Prepare business activity reports as required by the PepsiCo legal function on monthly basis.
- Provide MENA FOBO and G&LF General Counsel with accurate reports on company contracts and corporate position as required by said General Counsel. Be one of the possible benches for MENA FOBO and G&LF General Counsel.
- Attend management meetings and audit committee meetings when required and provide legal support to functions during said meetings.
- Provide legal training on commercial and legal topics for business teams and 3rd parties.
- Assisting in investigating compliance issues in MENA with discretion and maturity, liaising with compliance leaders, helping to build an open reporting environment.
- Creating legal forms, templates, trainings, tools and best practices as needed.
Job Requirements:
Knowledge:
Experience in corporate governance and corporate compliance regulations, experience in drafting reviewing and negotiating all kinds of contracts, experience in dealing with suppliers, customers and different stakeholders. FMCG experience is a plus.
Education:
Bachelor of Law is required. Master of Law is a plus.
Prior Work Experience:
Minimum 8 years of experience in a multinational company or corporate legal firm is required. US sanctions regulations knowledge is a plus.
Language Proficiency:
Fluency in both spoken & written English & Arabic language is required. French is plus.
Problem Solving:
Typical problems requiring solving by the JOB HOLDER will include ensuring sufficient documentation and legal arguments exist to support our legal positions in legal cases, obtaining clear and accurate information from the business to assist in drafting and reviewing contracts, gaining access to information to aid in providing legal advice, etc…

The candidate should be an active team player, through actively working and exchanging with peers, colleagues internally and externally to enhance relations and implement projects. A Very Good command of computer skills, negotiation and communication skills, high integrity and business ethics, ability to anticipate contractual issues and plan for them in each contract, ability to question and analyze date and information, ability to take charge and steer negotiations in a specific direction as well as adherence and dedication to company policies and regulations while maintaining flexibility in certain matters as required by the business, ability to deal with different stake holders including internal functions, governmental agencies, suppliers, customers, PepsiCo staff etc.
